Job Description:
NetSuite has an opening for a Corporate Counsel, the fourth lawyer in a growing company, to provide legal support for its technology transactions, primarily for inbound and outbound licensing, with significant exposure to all functional areas. There is potential for expansion of duties and greater responsibilities as the business requires. A significant part of the job will consist of reviewing, negotiating and drafting agreements for sales and licensing transactions and supporting the sales force in the areas of worldwide sales, service and support, distribution, reseller, VAR and referral programs, as well as the product development team. This individual must be a self-motivated team player with the ability to identify and resolve legal issues, draft and negotiate contracts, and balance legal and business concerns. Experience with issues pertaining to product development, open source, IP, inbound technology licensing, commercial law, trademark law and/or revenue recognition is preferred. Candidates should work well in a fast-paced, challenging environment as part of a dynamic team of professionals, and have the ability to communicate effectively in group settings and before senior management.

Responsibilities:

  • Provide legal support for product related technology transactions, including negotiating and drafting inbound license agreements, outbound product and technology licensing and marketing agreements, professional services and related distribution agreements.
  • Advise business and technical colleagues on broad range of legal subject areas, including general commercial law, privacy, data protection, intellectual property, and trademark law.
  • Undertake projects as required to support channel marketing and technology development programs and agreements and advise internal clients of program rights and obligations and provide interpretation of terms and conditions, including legal support in connection with customer and vendor disputes.
  • Frequent interaction with management, partners, and functional peer groups. Communicate back into Legal regarding company developments.
  • Conduct various legal projects and other duties as assigned;
  • Maintain and revise template agreements as required.

Qualifications/Skills:

  • JD from nationally recognized law school and member in good standing of the California State Bar. 
  • Minimum of 5 years experience in technology licensing and commercial transactions, including 2-3 years working for major law firm in technology transactions. Some in-house experience preferred. Litigation experience a plus.
  • Excellent drafting and negotiation skills.
  • Demonstration of successful client management skills.
  • Excellent business judgment and strategic thinking.
  • Hard working, high integrity, well organized and able to manage numerous projects simultaneously under deadline pressure.
  • Flexibility and willingness to work on a broad variety of legal matters.
  • Ability to work well both independently and as part of a highly collaborative team environment.

Preferred Qualifications:

  • Experience working with the SaaS model is a plus as is operational experience with creating and implementing contract processes and working closely with sales operations.
  • Basic knowledge of revenue recognition principles.
  • Basic knowledge of worldwide data privacy regulations and SAAS industry.
